By accessing or using any services offered by Umeme Networks Engineering Solution (“Umeme Networks”), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These terms govern all engagements involving hardware, software, electronics, automation, and engineering services provided by us. These Terms & Conditions apply to all clients, partners, and stakeholders engaging with us directly, either in person, via email, or through digital platforms. If you do not agree to any part of these terms, please refrain from using our services.

Umeme Networks provides integrated services in engineering and technology, including but not limited to:
  • Custom software development (web, mobile, enterprise systems)
  • Hardware repair, installation, and systems integration
  • Solar power system design and deployment
  • Robotics and industrial automation
  • Networking infrastructure (LAN, WAN, Wi-Fi)
  • PCB manufacturing and prototyping
Services are rendered upon agreement of scope, budget, and timeline. We retain the right to accept or decline any project based on capacity, risk, or conflict of interest.

All projects begin only after formal approval through a signed agreement, contract, or documented client confirmation. A detailed Statement of Work (SOW), cost estimate, and timeline shall be shared prior to the project’s start. Both parties must uphold agreed responsibilities. Clients are expected to provide all relevant information, access, and feedback in a timely manner. Umeme Networks reserves the right to adjust delivery timelines in response to project scope changes or delays caused by the client. Any additions, modifications, or revisions must be formally documented and may affect cost and timelines.

All services are subject to payment based on agreed rates or fixed contracts. For most projects, a non-refundable deposit (typically 50%) is required before commencement. The remaining balance is payable upon completion or according to milestone agreements. No payments should be made directly to technicians, developers, or contractors. All payments must be made to Umeme Networks’ official account, as indicated on the invoice or contract. Unauthorized payments are not recognized and may cause service interruptions. Late payments beyond 14 days may incur penalties of 5% of the outstanding balance per month. Any discounts granted become void in case of payment delays.

If the client fails to fulfill agreed payment obligations, Umeme Networks reserves the right to:
  • Immediately suspend ongoing work
  • Withhold delivery of any developed software, systems, reports, or products
  • Disable system access (e.g., admin logins, code repositories, server access)
Work will resume only upon full settlement of the outstanding balance. We also reserve the right to pursue legal recovery for non-payment beyond 30 days, including but not limited to collection efforts and legal proceedings.

Clients must:
  • Provide timely access, data, approvals, and environment for work execution
  • Ensure accuracy of all project-related inputs
  • Not request third-party integration or modification without Umeme Networks’ approval
Failure to meet these obligations may result in project delays or re-quoting. Clients are liable for any consequences arising from misinformation, neglected feedback, or interference by unauthorized individuals.

Umeme Networks treats all client information with confidentiality. Technical, business, or operational data shared by either party shall not be disclosed to any unauthorized third party without written consent, except where required by law. We also expect our clients to treat our methodologies, source code, technical documentation, and pricing models as confidential.

Unless otherwise agreed, Umeme Networks retains full intellectual property rights over any proprietary tools, frameworks, or reusable code components used in a client project. Clients are granted a non-exclusive, non-transferable license to use deliverables for the intended purpose. Full IP transfer, if needed, must be discussed in writing and may incur additional cost.

We provide a standard 30-day post-deployment support period for most software or hardware installations, unless otherwise stated. During this time, we will address bugs, errors, or malfunctions caused by our development at no extra cost. Ongoing support, updates, or maintenance beyond the warranty period may be subject to a separate service agreement or retainer.

While we strive to provide reliable and professional services, Umeme Networks shall not be liable for:
  • Loss of data, revenue, or business arising from use or misuse of our products
  • Damage resulting from client modifications, third-party interference, or misuse
  • Indirect, incidental, or consequential damages
Our total liability in any claim shall not exceed the total fees paid for the specific service rendered.

These Terms & Conditions shall be governed by and construed in accordance with the Constitution and laws of the Republic of Kenya. Any dispute arising under or in connection with these terms shall first be resolved through negotiation. If unresolved, the matter shall be referred to the courts or arbitration bodies of competent jurisdiction in Kenya.

Umeme Networks reserves the right to update these Terms and Conditions at any time, with or without prior notice. Updated versions will be posted on our website or sent via email when relevant. Continued use of our services constitutes acceptance of the updated terms. It is your responsibility to review this section periodically for any changes.
